PREDICTBAY TERMS OF SERVICE (USER AGREEMENT)

IMPORTANT NOTICE — PLEASE READ CAREFULLY.

PREDICTBAY IS NOT A FINANCIAL INSTITUTION, MONEY SERVICE BUSINESS, CUSTODIAN, BROKER, DEALER, INVESTMENT ADVISER, OR FINANCIAL INTERMEDIARY. PREDICTBAY DEVELOPS AND OPERATES ONLINE PREDICTION-MARKET SOFTWARE INFRASTRUCTURE.

THE SERVICE INVOLVES SIGNIFICANT FINANCIAL RISK, INCLUDING THE RISK OF TOTAL LOSS OF THE AMOUNTS YOU COMMIT. THE SERVICE IS NOT AVAILABLE IN ALL JURISDICTIONS AND MAY BE RESTRICTED OR PROHIBITED WHERE YOU ARE LOCATED.

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT, INCLUDING A BINDING INDIVIDUAL ARBITRATION PROVISION AND A CLASS-ACTION WAIVER (SECTION 18). PLEASE REVIEW SECTION 18 CAREFULLY; IT AFFECTS HOW DISPUTES ARE RESOLVED.

USE OF A VIRTUAL PRIVATE NETWORK ("VPN"), PROXY, OR ANY SIMILAR TOOL OR TECHNIQUE TO CIRCUMVENT OR ATTEMPT TO CIRCUMVENT THE RESTRICTIONS SET OUT IN THIS AGREEMENT IS STRICTLY PROHIBITED. ANY PERSON IN VIOLATION OF THIS AGREEMENT MAY HAVE THEIR ACCOUNT PLACED IN CLOSE-ONLY MODE, SUSPENDED, OR TERMINATED AT OUR SOLE DISCRETION.


1. INTRODUCTION; SCOPE; ACCEPTANCE; STRUCTURE

1.1 Who we are; what these Terms cover

These Terms of Service (this "Agreement" or "Terms"), together with any documents and additional terms they expressly incorporate by reference, including the Privacy Policy, govern your access to and use of the PredictBay website located at predictbay.io, together with any related mobile or web applications, interfaces, widgets, application programming interfaces (APIs, if any), smart-contract interfaces, and related products and services (collectively, the "Service"). This Agreement is a binding contract between you ("you" or "User") and PredictBay Inc., a corporation incorporated under the laws of the Republic of Panama ("PredictBay," "we," "us," or "our").

1.2 Acceptance

By creating an Account, clicking to accept, or otherwise accessing or using the Service, you confirm that you have read, understand, and agree to be bound by this Agreement and the Supplemental Terms described in Section 1.4. If you do not agree, you must not access or use the Service.

1.3 Definitions

In addition to terms defined elsewhere in this Agreement:

  • "Account" means your Service account, including any linked Wallet address(es), credentials, and associated records.
  • "Applicable Law" means all laws, statutes, rules, regulations, directives, orders, judgments, sanctions programs, licensing requirements, and regulatory guidance that apply to you or to the Service.
  • "Contract" means an event-based market instrument or outcome position offered through the Service (including any "Up"/"Down" or similar binary outcome, or, for on-chain Markets, a Range Contract), as further described by the applicable Market Rules.
  • "DeepBook" or the "DeepBook Protocol" means the third-party, on-chain order-book, account, pricing, and derivatives infrastructure deployed on the Sui Network, together with its associated smart-contract packages, modules, keepers, and indexers — including the prediction-market component made available to the Service and referred to as "DeepBook Predict." The DeepBook Protocol is developed, deployed, operated, upgraded, paused, parameterized, governed, and maintained by third parties, and not by PredictBay.
  • "Eligible Assets" means the digital assets, stablecoins, or other value units that PredictBay supports for deposits, trading, settlement, fees, or withdrawals (which may include dUSDC on the Sui Network and USDC on supported EVM networks), as further described in Sections 8, 9, and 23.
  • "Market" means a PredictBay market for one or more Contracts, including the market's resolution criteria, trading window, and settlement mechanics.
  • "Market Rules" means the market-specific terms, resolution criteria, definitions, data sources, and operational rules applicable to a Market, as posted through the Service.
  • "Prohibited Person" means any person or entity that (i) is located in, resident of, a citizen of, or organized under the laws of a Restricted Jurisdiction; (ii) is subject to Sanctions or is otherwise a Restricted Person under Section 4; (iii) is owned or controlled by, or acting on behalf of, any such person; (iv) is any person or entity with whom transactions are prohibited or restricted under Applicable Law; or (v) is otherwise ineligible under Section 4.
  • "Range Contract" means an on-chain Contract made available through DeepBook Predict that pays a fixed amount per unit only if a reference price settles within a defined price range at expiry (including a one-sided "Above" or "Below" range mapped from an "Up" or "Down" selection) and otherwise pays nothing, and that, where the Service makes such functionality available, may be opened with leverage (a "Boost") up to a per-Market maximum set by the protocol. The realized economics of a Range Contract are determined by on-chain mechanics (including fees, leverage financing, congestion charges, and a knock-out floor) and not by any fixed one-to-one payout.
  • "Restricted Jurisdiction" means each jurisdiction identified in Section 4.2 and any other jurisdiction in which PredictBay, in its discretion, restricts or prohibits some or all access to the Service, including for regulatory, sanctions, licensing, or risk reasons.
  • "Sanctions" means economic or trade sanctions administered or enforced by the United Nations, the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or any other relevant governmental authority.
  • "Sponsored Transaction" means a Sui Network transaction submitted on your behalf, authorized by your zkLogin signature, for which PredictBay (through a third-party sponsorship provider) pays the network (gas) fee, in each case subject to an allowlist of permitted operations, rate limits, identity and origin checks, anti-replay controls, and the availability of the relevant third-party services.
  • "Sui Network" or "Sui" means the third-party Sui Layer-1 blockchain and any associated networks on which the DeepBook Predict functionality operates, developed by third parties and operated by an independent, changing set of validators, and not by PredictBay.
  • "Wallet" means a digital-asset wallet, address, or account that interacts with the Service and/or underlying smart contracts, whether self-custodied by you or provisioned through the Service (for example, via zkLogin or an embedded-wallet provider). For the avoidance of doubt, depending on the feature, you retain exclusive control and custody of your private keys and digital assets on the blockchain, and PredictBay does not hold, control, or have access to your private keys or digital assets.
  • 1.4 Supplemental Terms; incorporation by reference

    This Agreement incorporates by reference the following, each as posted or updated through the Service (collectively, "Supplemental Terms"):

  • Privacy Policy
  • Cookie Policy
  • Market Rules
  • Community Guidelines / Acceptable Use Policy
  • Fee Schedule
  • Promotions, Referral, Points, Contest, and Bonus Terms (if any)
  • API Terms (if any)
  • Any jurisdictional addenda, supplemental disclosures, or product-specific terms
  • 1.5 Order of precedence

    If there is a conflict: (1) market-specific Market Rules control for that Market; (2) product-specific or jurisdictional supplemental terms control for that subject; and (3) this Agreement controls for all other matters.


    2. THE SERVICE AND FEATURES; INFORMATIONAL NATURE; NO ADVICE

    2.1 Description of the Service

    PredictBay provides an online prediction-market service through which eligible Users may acquire, hold, or dispose of event-based Contracts whose outcomes are tied to specified reference events — for example, whether the price of a referenced cryptoasset or equity is "Up" or "Down" relative to a defined reference value over a defined observation window (such as hourly or daily). The Service makes available on-chain prediction-market functionality on the Sui Network, where and to the extent the Service offers it, through the third-party DeepBook Predict protocol (DeepBook and the Sui Network are described in Section 1.3), and may operate on additional networks, such as Polygon and other supported EVM networks. Settlement, where applicable, occurs in Eligible Assets (for example, dUSDC on the Sui Network or USDC on supported EVM networks) as specified in the applicable Market Rules and in Sections 8 and 23.

    The Service may rely on smart contracts and blockchain networks that PredictBay does not own or control. Blockchain transactions may be irreversible once final on-chain, may require non-refundable network fees (for example, gas), and are subject to network risks described in Section 10. Depending on the feature, the Service may be custodial, non-custodial, or hybrid, and may make available Wallets provisioned through zkLogin or an embedded-wallet provider; your responsibilities for credentials and keys are described in Section 5.

    2.2 Informational nature; no advice; no solicitation

    You acknowledge and agree that all prices, implied probabilities, charts, analytics, order-book information, market data, news, and other content made available through the Service are provided for informational purposes only. Such content:

  • is not professional, investment, financial, legal, tax, or accounting advice, and does not create any advisory or fiduciary relationship or any duty owed to you beyond those expressly set out in this Agreement;
  • does not guarantee or assure any yield, profit, or return on Users' deposits;
  • does not constitute an offer, a solicitation of an offer, or a recommendation by PredictBay to enter into any transaction or to acquire, dispose of, hold, or convert any asset; and
  • shall not be interpreted as an invitation or inducement to buy, sell, or otherwise transact in any asset.
  • You are solely responsible for your own decisions and for independently evaluating the merits and risks of any Contract. PredictBay does not act as your broker, dealer, investment adviser, or fiduciary, nor operate, administer, or control the underlying protocols or their smart contracts.

    2.3 Lawful use in your jurisdiction

    You are solely responsible for determining whether your access to and use of the Service, and your participation in any Contract, is lawful in your jurisdiction, and for complying with Applicable Law. Where participation in event-based Contracts would constitute regulated gaming, betting, or wagering activity, or would otherwise be prohibited or require a license that is not held, in the jurisdiction in which you are located or resident, you must not access or use the Service and you are a Prohibited Person for purposes of this Agreement.


    3. MODIFICATIONS

    3.1 Changes to these Terms

    We may modify this Agreement at any time by posting an updated version through the Service and updating the "Last Updated" date. Changes apply prospectively as of the stated effective date unless otherwise required by Applicable Law. Your continued access to or use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. It is your responsibility to review the Terms periodically.

    3.2 Changes to the Service, features, and limits

    We may, at our sole discretion and with or without prior notice, modify, suspend, disable, restrict, add to, or discontinue the Service or any feature, in whole or in part, for any reason — including by allowing only the closing of open positions. We may also change transaction, deposit, withdrawal, position, rate, or other limits at any time on a general or case-by-case basis. We will not be liable for any loss arising from any such modification, suspension, restriction, or discontinuation.


    4. ELIGIBILITY; REPRESENTATIONS; SANCTIONS; RESTRICTED JURISDICTIONS; NO CIRCUMVENTION

    4.1 Your representations and warranties

    As a condition to accessing or using the Service, you represent, warrant, and covenant, each time you access or use the Service, that:

  • Age and capacity. You are at least 18 years old (or older if required in your jurisdiction) and have the legal capacity and authority to enter into this Agreement (and, if acting for an entity, authority to bind it).
  • Not a Prohibited Person. You are not a Prohibited Person and are not acting on behalf of, or for the benefit of, a Prohibited Person.
  • Sanctions. You are not, and are not owned or controlled by or acting on behalf of, a person that is the subject of Sanctions, listed on any list of prohibited or restricted parties (including OFAC's Specially Designated Nationals and Blocked Persons List), or located, organized, or resident in a jurisdiction subject to comprehensive Sanctions; and you are not in breach of any anti-money-laundering or counter-terrorist-financing laws.
  • Lawful access. Your access to and use of the Service is not prohibited by, and does not contravene, any Applicable Law, and you will comply with all Applicable Law in connection with your use of the Service.
  • No circumvention. You will not use a VPN, proxy, Tor, location-spoofing, SIM-swapping, device emulation, or any other tool or technique to obscure your location, identity, or eligibility, or to circumvent (or attempt to circumvent) any restriction that applies to the Service.
  • Understanding and sophistication. You have sufficient knowledge, experience, and understanding of blockchain networks, digital assets, smart contracts, and event-based Contracts to assess and bear the risks described in this Agreement.
  • Beneficial ownership; source of funds. You are the beneficial owner of the assets you deposit or use, you are authorized to transact with them, and they are not derived from unlawful activity; you will provide source-of-funds information on request.
  • Acknowledgement of risk. YOU UNDERSTAND AND ACCEPT THE RISKS SET OUT IN SECTION 10, AND YOU ACKNOWLEDGE THAT EVENT-BASED CONTRACTS ARE EXPERIMENTAL, RISKY, AND VOLATILE, THAT TRANSACTIONS MAY BE IRREVERSIBLE AND FINAL, AND THAT YOU CAN LOSE UP TO THE ENTIRE AMOUNT YOU COMMIT TO A CONTRACT.
  • 4.2 Restricted Jurisdictions

    You may not access, use, or transact through the Service if you are located in, resident of, a citizen of, or organized or incorporated in any Restricted Jurisdiction. The Restricted Jurisdictions include, at a minimum:

  • the United States of America (including its territories and possessions);
  • Australia, Belgium, France, Germany, Italy, the Netherlands, the provinces of Ontario and Quebec (Canada), Poland, Russia, Taiwan, Thailand, and the United Kingdom; and
  • any jurisdiction or territory that is the subject of comprehensive Sanctions, including (without limitation) Iran, Syria, Cuba, North Korea, and the Crimea, Donetsk, and Luhansk regions of Ukraine.
  • The User acknowledges that the use of a VPN or any other privacy or anonymization tool to circumvent any restriction that applies to the Service is prohibited.

    PredictBay may add to, remove from, or otherwise change the Restricted Jurisdictions at any time, and may apply different restrictions to different activities (for example, browsing, Account creation, deposits, trading, or withdrawals) and by country, region, state, or province. The current list of Restricted Jurisdictions is available through the Service.

    4.3 Panama Sanctions Framework

    Access to and use of the Service is further restricted in accordance with the Republic of Panama's obligations under Title VI of Law 23 of 2015, Executive Decree 587 of 2015, and Article 4 of the Political Constitution. Accordingly, Users who appear on the United Nations Security Council Consolidated Sanctions List are strictly prohibited from using the Service or interacting with PredictBay. We may, at our own discretion, additionally restrict access from users associated with high-risk jurisdictions or persons appearing on international control or reference lists (including OFAC, UK Treasury, EU, and FATF lists) as a voluntary risk-mitigation measure.

    4.4 Identity and location verification

    PredictBay may use IP checks, device signals, third-party databases, address verification, and other methods to verify your eligibility and location, and you consent to such checks as part of using the Service. PredictBay may place an Account in close-only mode, suspend it, or terminate it if PredictBay determines (or reasonably suspects) that you are a Prohibited Person or have breached this Section 4.


    5. ACCOUNTS; AUTHENTICATION; SECURITY; MULTIPLE ACCOUNTS

    5.1 Account creation

    You must provide complete and accurate information and keep it current. PredictBay may reject, suspend, or terminate Accounts in its discretion, including for risk, compliance, or security reasons.

    5.2 Authentication and login providers

    The Service may permit authentication through third-party identity providers (for example, Google single sign-on, including via zkLogin) and/or through cryptographic authentication. PredictBay is not responsible for the availability, performance, or decisions of any third-party identity provider.

    5.3 Account and key security

    You are responsible for safeguarding your credentials, devices, recovery codes, Wallet keys, and any authentication factors, and for all activity that occurs under your Account, whether or not authorized by you. Where you control keys, loss of those keys may result in permanent loss of access to assets. PredictBay cannot reverse a transaction that is final on-chain.

    5.4 Notice of compromise

    You must promptly notify PredictBay if you suspect any unauthorized access to, or compromise or loss of control of, your Account or Wallet.

    5.5 Multiple Accounts; no transfer

    Unless expressly permitted in writing, you may not maintain multiple Accounts, transfer, sell, or rent an Account, or allow a third party to use your Account. PredictBay may treat linked Accounts as a single Account for limits, enforcement, and compliance.

    5.6 Closure by you

    You may request Account closure, subject to outstanding obligations, open positions, compliance holds, and verification. PredictBay may require you to close positions or withdraw balances before closure.


    6. IDENTITY VERIFICATION; AML / SANCTIONS; MONITORING; REPORTING

    6.1 KYC / AML and sanctions screening

    You agree that PredictBay may require identity verification ("KYC"), sanctions screening, and other compliance checks before, and at any time after, permitting deposits, trading, or withdrawals, and may repeat such checks periodically.

    6.2 Information requests

    PredictBay may request government-issued identification, proof of address, selfie/liveness checks, entity and beneficial-ownership documentation, source-of-funds and source-of-wealth information, tax forms, and other documentation.

    6.3 Risk-based measures

    PredictBay may apply enhanced due diligence, impose or adjust limits, restrict features, delay withdrawals, or require additional documentation based on risk signals, including signals from blockchain analytics and third-party providers.

    6.4 Refusals and consequences

    If you fail to provide requested information, or if PredictBay cannot complete verification to its satisfaction, PredictBay may refuse service, suspend or terminate your Account, restrict or delay withdrawals, and/or freeze assets to the extent permitted by Applicable Law, pending resolution.

    6.5 Regulatory cooperation

    PredictBay may cooperate with regulators, law enforcement, courts, and other competent authorities, and may disclose information and records, as required or permitted by Applicable Law.


    7. PROHIBITED CONDUCT

    You may not, directly or indirectly:

  • use the Service for any unlawful purpose or to violate Sanctions or export controls;
  • engage in fraud, deception, identity misuse, account takeovers, or social engineering;
  • engage in market abuse, including trading on the basis of material non-public information about a Market's outcome, spoofing, layering, wash trading, self-trading where prohibited, front-running (where applicable), corners or squeezes, collusion or coordinated trading, or the dissemination of false or misleading information, in each case intended to or having the effect of artificially affecting a Contract's price or the integrity of a Market;
  • exploit bugs, vulnerabilities, latency, or API endpoints; conduct unauthorized security testing; or bypass or attempt to bypass any control or restriction;
  • use bots or automation except as expressly authorized (for example, through approved APIs) and in compliance with applicable rate limits and rules;
  • scrape, crawl, or harvest data at scale without written permission, or reverse engineer or derive source code or models except to the extent permitted by Applicable Law;
  • abuse promotions, points, referrals, bonuses, or fee rebates, including by creating multiple Accounts or engaging in circular or wash activity;
  • interfere with the availability or integrity of the Service, including by introducing malware, overloading infrastructure, or probing systems;
  • harass, threaten, or abuse other users, post unlawful content, or violate the Community Guidelines / Acceptable Use Policy; or
  • use the Service in any manner that creates regulatory, legal, or reputational risk for PredictBay; or
  • engage in fraud, deception, misrepresentation, market manipulation, wash trading, front-running, spoofing, or any other deceptive or manipulative activity.
  • PredictBay reserves the right to investigate and take appropriate action against any User who violates these prohibitions. PredictBay may also restrict or prohibit use by certain categories of persons (for example, PredictBay personnel and vendors; persons with access to non-public information relating to Markets; market-data distributors and certain professional or capital-markets participants; persons subject to professional restrictions; or persons on watchlists), except as expressly authorized by PredictBay in writing.


    8. SERVICE MECHANICS; ORDERS; SETTLEMENT; ORACLES; CORRECTIONS

    8.1 Markets and listings

    PredictBay determines which Markets to list, when to list them, trading windows, position limits, and eligibility requirements. User suggestions create no obligation to list or maintain a Market.

    8.2 Contract structure (illustrative)

    Unless Market Rules specify otherwise, each Market offers binary outcomes (for example, "Up" vs. "Down") that resolve to a payout value upon settlement. Market Rules control all definitions, including the observation window and timestamps, reference-price definitions, data source(s) and fallback hierarchy, treatment of ties, halts, and missing data, and the settlement asset and payout mechanics. Some Markets — including on-chain Markets offered through the DeepBook Predict protocol — may instead offer non-binary structures, such as range-digital positions that may be opened with leverage, whose mechanics and economics are described in Section 23.6 and the applicable Market Rules.

    8.3 Orders; pricing; risk controls

    PredictBay may support order types such as limit orders, market orders, cancellations, and partial fills as made available through the Service, and may reject orders, impose minimum or maximum sizes, apply position limits, enforce self-trade prevention, and apply other risk controls. Displayed prices, depth, analytics, and implied probabilities may be delayed, incomplete, inaccurate, or subject to correction; you are responsible for verifying your actions and exposures.

    8.4 Settlement and resolution

    Each Market resolves according to its Market Rules. PredictBay may rely on one or more third-party oracle and reference-data providers (which may include Pyth Network, reference exchanges, and other data publishers), as specified in the applicable Market Rules. Market Rules may specify primary and fallback resolution sources, finality rules, dispute windows (if any), and standards for any manual intervention. If Market Rules are ambiguous, incomplete, or silent on a scenario, PredictBay may interpret and apply them in a manner it considers reasonable and consistent with the Market's stated intent, risk management, and integrity. For on-chain Markets, position issuance (minting), pricing, and settlement may be performed by the third-party DeepBook Protocol on the Sui Network (and, where applicable to any order-book Market, order matching), and pricing and settlement may depend on third-party on-chain oracle and volatility-surface infrastructure. DeepBook is the on-chain issuance and settlement venue and is distinct from the price-oracle providers. PredictBay does not control or guarantee the availability, accuracy, timeliness, or settlement output of any such venue or oracle. The mechanics and risks of on-chain Markets are further described in Sections 23.4 through 23.7.

    8.5 Disruptions; exceptional events

    PredictBay may, without prior notice, suspend, pause, extend, or close trading, cancel orders, adjust limits, or restrict functionality in response to, among other things: oracle failure, stale data, or abnormal feeds; smart-contract bugs or security incidents; network congestion, chain reorganization, or finality uncertainty; market manipulation, abusive trading, or operational risk; regulatory or legal risk; or force-majeure events.

    8.6 Corrections; obvious error; voiding

    PredictBay may correct errors, including obvious pricing, settlement, or accounting errors, and may cancel, void, reverse, or unwind trades or settlements if PredictBay reasonably determines that an error materially affected trading or settlement, that a Market relied on faulty or compromised data, that abusive, manipulative, or unlawful activity occurred, or that Applicable Law or risk controls require such action.

    8.7 Finality; on-chain activity

    Where the Service uses smart contracts, transactions may be irreversible once final on-chain. PredictBay may treat on-chain finality rules and its internal ledgers as controlling for Account records, subject to correction under Section 8.6 and the applicable Market Rules.


    9. DEPOSITS; WITHDRAWALS; CUSTODY; LIMITS; HOLDS; FEES; ERRORS

    9.1 Supported assets and methods

    PredictBay may support deposits and withdrawals in Eligible Assets and may add or remove supported assets, networks, or methods at any time. You are responsible for using correct addresses, networks, memos/tags, and contract parameters; PredictBay is not responsible for losses caused by incorrect addresses, incompatible networks, or user error.

    9.2 Custody and control

    Depending on the feature, the Service may be custodial, non-custodial, or hybrid of Eligible Assets, and may use smart contracts, embedded wallets, zkLogin, third-party wallet tooling, and/or custodians. You acknowledge that if you control your keys, loss of keys may result in loss of access; that if an embedded wallet or key-management solution is used, additional terms and risks may apply; and that blockchain transactions may be irreversible and subject to network risk.

    9.3 Limits; holds; compliance freezes

    PredictBay may impose deposit, withdrawal, transaction, and position limits, and may place holds, delay withdrawals, or freeze assets where it reasonably determines this is necessary for verification, AML/sanctions checks, or fraud prevention; security incidents or suspected compromise; dispute investigation; compliance with lawful requests; or risk management or operational integrity.

    9.4 Errors; reconciliation

    PredictBay may correct clerical, pricing, settlement, wallet, or accounting errors. If you receive funds or credits in error, you agree to return them and authorize PredictBay to reverse the relevant entries where feasible. PredictBay's records, including on-chain records where applicable, may be used to reconcile discrepancies.

    9.5 Network and third-party fees

    Unless the Service expressly states otherwise, you are responsible for network fees (gas), bridge fees, validator/miner fees, and third-party processor fees associated with your transactions, all of which may be non-refundable.


    10. RISK DISCLOSURES

    The User acknowledges that digital-asset markets are highly volatile. The value of deposited assets and earned rewards, if any, may fluctuate significantly, and the User may experience permanent capital losses. Users should carefully consider whether participating in prediction markets is suitable given their circumstances and financial resources, and acknowledge and agree that:

  • Total loss. You may lose the entire amount you deposit or commit to positions.
  • Volatility and illiquidity. Prices may move rapidly, Markets may be illiquid, and you may be unable to close a position when you wish.
  • Settlement and oracle risk. Outcomes depend on Market Rules, reference data, oracle feeds, and timing; disputes or ambiguities may arise, and settlement may be delayed or corrected.
  • Technology risk. The Service may experience outages, delays, bugs, hacks, or smart-contract vulnerabilities.
  • Blockchain risk. Forks, reorganizations, congestion, validator failures, bridge failures, or protocol changes on Sui, Polygon, or other networks may affect finality and asset availability.
  • Regulatory risk. Your access may be restricted or terminated due to legal or regulatory considerations, and the legal treatment of event-based Contracts varies by jurisdiction and may change.
  • Counterparty and platform risk. You bear risk relating to the Service's operations, controls, and third-party providers.
  • No advice. PredictBay does not provide investment, legal, tax, or accounting advice, and information provided may be incomplete or inaccurate.
  • Your responsibility. You are solely responsible for your decisions, including assessing the legality of your use in your jurisdiction.
  • On-chain protocol, leverage, and security risk (supplementing items 4 and 5 above). On-chain Markets depend on third-party protocols (including DeepBook and the Sui Network) that PredictBay does not and will not control and that may be paused, upgraded, re-architected, halted, congested, exploited, or discontinued. On-chain Contracts may be range-digital instruments that can be opened with leverage, can be liquidated or knocked out, have a non-linear payoff, and can lose the entire amount committed. On-chain assets and positions may be lost permanently through hacks, exploits, smart-contract vulnerabilities, oracle or economic manipulation, key or session compromise, or network failure, and such losses are not recoverable, reversible, or reimbursable by PredictBay. Displayed prices, odds, and payouts for on-chain Contracts are non-binding estimates, while the binding cost and outcome are computed and enforced on-chain and may differ. On-chain transactions are atomic and irreversible once final and cannot be reversed, cancelled, or refunded by PredictBay.
  • The User acknowledges and agrees that PredictBay shall have no responsibility or liability for any of the risks outlined in this Section 10. To the fullest extent permitted by Applicable Law, you hereby irrevocably waive, release, and discharge all claims, whether known or unknown, arising out of or relating to any of the risks outlined in this Section 10 against PredictBay and its affiliates, shareholders, directors, officers, employees, agents, representatives, suppliers, and contractors.


    11. TAXES

    You are solely responsible for determining and paying all taxes applicable to your use of the Service and for compliance with the tax laws of your tax-resident jurisdiction. PredictBay may collect tax forms, withhold amounts, or report information where required by Applicable Law, and may restrict withdrawals pending completion of tax or compliance obligations.


    12. INTELLECTUAL PROPERTY; LICENSE; FEEDBACK

    12.1 Our IP

    The Service and all associated content, software, trademarks, trade names, logos, and proprietary materials are owned by PredictBay or its licensors and are protected by Applicable Law.

    12.2 Limited license

    Subject to this Agreement, PredictBay grants you a personal, limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to access and use the Service for your personal use (or internal business use if expressly permitted). You may not copy, modify, distribute, sell, lease, reverse engineer (except as permitted by law), or create derivative works of the Service, beyond what is expressly permitted.

    12.3 Restrictions

    Except as expressly permitted, you may not:

  • copy, modify, distribute, create derivative works of, or decompile the Service;
  • reverse engineer, disassemble, or attempt to derive the source code of any software included in the Service;
  • use scraping or data-mining techniques except as expressly permitted;
  • resell, sublicense, assign, or otherwise transfer rights to the Service without prior written consent; or
  • circumvent any security measures or access controls.
  • 12.4 Feedback

    Any feedback, suggestions, or ideas you provide are made on a non-confidential, non-proprietary basis. By submitting feedback, you grant PredictBay a perpetual, irrevocable, worldwide, royalty-free, sublicensable right to use them for any purpose, including improving and promoting the Service, without compensation or obligation to you.

    12.5 Your content

    If the Service permits submissions (for example, market suggestions, comments, or support tickets), you retain ownership of your content but grant PredictBay a worldwide, royalty-free, sublicensable license to host, store, reproduce, modify, and display it for operating, improving, securing, and enforcing the Service and complying with Applicable Law. You may not submit unlawful, infringing, harmful, deceptive, or abusive content, and PredictBay may remove content or restrict posting without notice.


    13. THIRD-PARTY SERVICES

    The Service may integrate with, or link to, third parties (for example, identity-verification providers, blockchain-analytics providers, cloud hosting, payment processors, wallet providers, and oracle and data providers). PredictBay does not and will not control third-party services and disclaims responsibility for their acts, omissions, accuracy, availability, or privacy practices. Links and integrations do not imply endorsement. For on-chain functionality, these third parties include the Sui Network and its independent validators, the developers and maintainers of the Sui Network and the DeepBook and DeepBook Predict protocols, third-party oracle and pricing providers, and third-party wallet-provisioning, proof-generation, and gas-sponsorship services. PredictBay does not control these third parties or the protocols, smart contracts, tokens, networks, keepers, indexers, parameters, upgrades, or governance processes they operate, and disclaims responsibility for them as set out in this Section 13 and in Sections 16 and 23.


    14. AVAILABILITY; MAINTENANCE; BETA FEATURES

    PredictBay may modify, suspend, discontinue, or limit the Service (in whole or part) at any time. The Service may be unavailable due to maintenance, outages, security events, or factors outside PredictBay's reasonable control. Beta or experimental features may be offered "as is" and may be changed or removed at any time. PredictBay will not be liable for any loss arising from any such unavailability, modification, suspension, or discontinuation.


    15. ENFORCEMENT; SUSPENSION; TERMINATION; POSITION ACTIONS

    15.1 Investigations and enforcement

    PredictBay may investigate suspected violations and take action, including warnings, limits, close-only mode, suspension, and termination, and may cooperate with law enforcement and pursue claims where conduct results in harm to PredictBay.

    15.2 Restrictions and termination

    PredictBay may restrict deposits, trading, withdrawals, or access (including by placing compliance holds), and may terminate your Account at any time for violation, risk, compliance, or operational reasons. Upon termination, your right to use the Service ceases immediately.

    15.3 Position closure; cancellations

    Where operationally feasible and consistent with Market Rules, PredictBay may close positions, cancel orders, or unwind trades to mitigate risk, address violations, or comply with Applicable Law.

    15.4 Promotions

    PredictBay may void or forfeit promotional credits, points, referrals, prizes, or bonuses if abuse or violation is suspected. Promotional items have no cash value, are not guaranteed, and may be modified or discontinued at any time, subject to applicable Promotional Terms.


    16. DISCLAIMERS; LIMITATION OF LIABILITY

    16.1 Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREDICTBAY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. PREDICTBAY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA, ORACLE INPUT, OR MARKET OUTCOME WILL BE ACCURATE OR TIMELY.

    16.2 Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREDICTBAY AND ITS AFFILIATES AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR CHANGES IN THE VALUE OF ANY ASSET, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREDICTBAY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO PREDICTBAY IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

    16.3 Allocation of risk

    You acknowledge that these disclaimers and limitations allocate risk between you and PredictBay, form a basis of the bargain, and apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; in those jurisdictions, the limitations apply to the maximum extent permitted by Applicable Law.

    16.4 On-chain functionality; third-party protocols; security incidents

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY ON-CHAIN FUNCTIONALITY THE SERVICE MAKES AVAILABLE THROUGH DEEPBOOK, DEEPBOOK PREDICT, THE SUI NETWORK, AND RELATED THIRD-PARTY ORACLE, PRICING, SPONSORSHIP, AND WALLET SERVICES IS PROVIDED "AS IS" AND "AS AVAILABLE," AND PREDICTBAY DISCLAIMS ALL WARRANTIES AND ALL RESPONSIBILITY FOR THOSE THIRD-PARTY PROTOCOLS AND SERVICES, INCLUDING THEIR AVAILABILITY, CONTINUITY, SECURITY, ACCURACY, PRICING, LEVERAGE AND LIQUIDATION MECHANICS, SETTLEMENT, ORACLE INPUTS, UPGRADES, PAUSES, OR FAILURES. PREDICTBAY DOES NOT GUARANTEE THAT ANY ON-CHAIN TRANSACTION WILL BE ACCEPTED, EXECUTED, SETTLED, CLAIMED, OR WITHDRAWN. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREDICTBAY SHALL HAVE NO LIABILITY FOR ANY LOSS, THEFT, FREEZING, DEVALUATION, OR INACCESSIBILITY OF ASSETS, POSITIONS, OR DATA ARISING FROM ANY HACK, EXPLOIT, SMART-CONTRACT VULNERABILITY, ECONOMIC OR ORACLE-PRICE MANIPULATION, KEY OR SESSION COMPROMISE, OR FAILURE, HALT, FORK, OR UPGRADE OF ANY THIRD-PARTY PROTOCOL, NETWORK, ORACLE, BRIDGE, VALIDATOR, KEEPER, INDEXER, OR SERVICE, WHETHER OR NOT FORESEEABLE. THE LIMITATIONS, DISCLAIMERS, AND RISK ALLOCATION IN THIS SECTION 16 APPLY FULLY TO ALL ON-CHAIN FUNCTIONALITY.


    17. INDEMNIFICATION

    You agree to defend, indemnify, and hold harmless PredictBay and its affiliates, licensors, and their respective directors, officers, employees, contractors, and agents (the "PredictBay Parties") from and against any and all claims, demands, actions, investigations, proceedings, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees), regardless of the theory of recovery and regardless of whether the allegations are groundless, that arise out of or relate to: (i) your use of the Service; (ii) your breach of this Agreement or violation of Applicable Law; (iii) your violation of any third-party right, including intellectual-property, privacy, or publicity rights; (iv) your content or feedback; or (v) your fraud, manipulation, or other prohibited conduct. In addition, if a PredictBay Party receives a subpoena or other compulsory legal process relating to your use of the Service, you will reimburse the PredictBay Parties for their reasonable time, materials, and attorneys' fees incurred in responding. PredictBay may assume control of the defense of any matter subject to indemnification, and you agree to cooperate.


    18. GOVERNING LAW; DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER

    18.1 Governing law

    This Agreement, and any relationship, right, obligation, dispute, or claim arising out of, in connection with, or related to the Service, shall be governed by the laws of the Republic of Panama, without regard to conflict-of-laws principles.

    18.2 Informal resolution first

    Before commencing arbitration or any legal proceeding, the aggrieved party agrees to first try to resolve the dispute informally by sending a written notice to [email protected] describing the dispute, the party's Account or Wallet identifier, and the relief sought. The receiving party shall have thirty (30) days to provide a written response. Within sixty (60) days after the initial notice, the parties shall meet and confer in good faith by videoconference to attempt resolution.

    18.3 Binding arbitration

    Except as set out in Sections 18.5 and 18.6, in the event of a dispute that cannot be resolved through informal resolution pursuant to Section 18.2, you and PredictBay agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Service (including its formation, breach, termination, enforcement, interpretation, or validity, and the scope or applicability of this arbitration agreement) will be resolved by final and binding arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CECAP) in accordance with its procedural rules in effect when arbitration is commenced. The seat of arbitration will be Panama City, in the Republic of Panama, the arbitration will be conducted in English before three arbitrators, the substantive law will be that of the Republic of Panama, and judgment on the award may be entered in any court of competent jurisdiction.

    18.4 Class-action waiver

    To the maximum extent permitted by Applicable Law, you and PredictBay agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

    18.5 Injunctive relief; intellectual property

    Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual-property rights, prevent unauthorized access, or preserve the status quo pending arbitration. Such measures shall not constitute a waiver of arbitration.

    18.6 Right to opt out of arbitration

    You may opt out of the arbitration agreement and class-action waiver in Sections 18.3 and 18.4 by sending written notice to [email protected] within thirty (30) days of first accepting this Agreement, stating your name, Account or Wallet identifier, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of this Agreement.

    18.7 Time limit

    To the maximum extent permitted by Applicable Law, any claim must be brought within one (1) year after it arises, or it is permanently barred.

    18.8 Confidentiality

    The parties agree to maintain confidentiality as to the existence and content of all conciliation and arbitration proceedings, except where disclosure is required by law or to enforce an award.


    19. CONSUMER RIGHTS; LOCAL NOTICES

    19.1 EEA / UK consumers

    If you are a consumer in the EEA or UK, you may have mandatory rights that cannot be waived. Where required by Applicable Law, the provisions of this Agreement (including arbitration and liability limitations) apply only to the extent permitted.

    19.2 California residents

    California residents may have rights under California law relating to consumer protections and privacy, and PredictBay will address requests as required by Applicable Law.

    19.3 No waiver of non-waivable rights

    Nothing in this Agreement limits any rights that cannot be limited under Applicable Law.


    20. NOTICES; ELECTRONIC COMMUNICATIONS

    You consent to receive disclosures, notices, and communications from PredictBay electronically, including by email, in-product messaging, or posting through the Service. Notices to PredictBay must be sent to [email protected]. PredictBay may provide notices to you by email, by posting through the Service, or by other reasonable means.


    21. ASSIGNMENT; SUBCONTRACTING; BUSINESS TRANSFERS

    You may not assign or transfer this Agreement or any rights or obligations under it without PredictBay's prior written consent. PredictBay may assign this Agreement and subcontract its obligations, including in connection with an affiliate, service provider, merger, acquisition, financing, reorganization, sale of assets, or similar transaction. This Agreement binds and benefits the parties and their permitted successors and assigns.


    22. GENERAL

    22.1 Entire agreement

    This Agreement, together with the Supplemental Terms, constitutes the entire agreement between you and PredictBay regarding the Service and supersedes all prior or contemporaneous communications and proposals.

    22.2 No relationship

    Nothing in this Agreement creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and PredictBay.

    22.3 Severability; waiver

    If any provision is held unlawful or unenforceable, it will be modified to the minimum extent necessary, or severed, and the remaining provisions will remain in full effect. No failure or delay in exercising any right is a waiver of it, and any waiver must be in writing.

    22.4 Interpretation; survival

    Headings are for convenience only, and "including" means "including without limitation." Provisions that by their nature should survive termination (including Sections 10, 11, 12, 13, 16, 17, 18, 23, and this Section 22) survive.

    22.5 Force majeure

    PredictBay is not liable for any delay, failure, or inability to perform in connection with this Agreement caused by events beyond its reasonable control, including network or infrastructure failures, acts of government, blockchain malfunctions, hacks, attacks on service providers, power failures, equipment malfunctions, changes in Sanctions or law, market disruptions, and third-party outages.

    22.6 No regulatory supervision

    PredictBay is not registered, qualified, licensed, supervised, or regulated by any governmental authority or financial regulator, whether in the Republic of Panama or in any other jurisdiction. No public authority has reviewed, approved, endorsed, or verified the accuracy, suitability, or completeness of the information made available through or in connection with the Service.


    23. ADDITIONAL TERMS

    23.1 API

    If PredictBay offers API access, additional API Terms may apply, including key issuance, rate limits, acceptable use, and termination rights.

    23.2 Promotions; referrals

    Promotions, contests, prizes, and referral programs (if offered) are subject to separate terms, eligibility checks, and anti-fraud controls, and may be modified, disqualified for abuse, or discontinued at any time.

    23.3 Jurisdictional addenda

    PredictBay may publish jurisdiction-specific addenda that apply based on your residence or location, including additional disclosures, restrictions, or consumer notices.

    23.4 Sui Network; DeepBook; Third-Party On-Chain Protocols; No Control

    This Section 23.4 applies where, and to the extent, the Service makes available on-chain prediction-market functionality on the Sui Network. It supplements, and does not replace, Sections 2, 8, 9, 10, 13, and 16, and is subject to the order of precedence in Section 1.5 (Market Rules and product-specific Supplemental Terms control to the extent of any conflict).

    The on-chain prediction functionality is provided through the DeepBook Protocol, including the component described in Section 1.3 as DeepBook Predict, deployed on the Sui Network. The Sui Network, the DeepBook Protocol, the associated tokens, the associated account, pricing, and oracle modules, the keepers that refresh on-chain data, and the indexers and RPC services that the Service reads are developed, stewarded, operated, and maintained by third parties and an independent, changing validator set, and not by PredictBay. Pricing and settlement additionally depend on third-party on-chain oracle and volatility-surface infrastructure, as described in Sections 8.4 and 23.6.

    PredictBay does not own, control, operate, maintain, audit, or guarantee the Sui Network or the DeepBook Protocol, and cannot modify, pause, accelerate, reverse, refund, restore, or repair any on-chain transaction, position, balance, or smart-contract behavior. PredictBay's role is limited to building transactions that target these third-party smart contracts, where applicable sponsoring the network fee for those transactions, and surfacing data read from third-party indexers, RPC nodes, and oracles. You acknowledge and agree that:

  • Third-party operation and control. The economic parameters of the on-chain prediction Markets (including fees, leverage caps, and the authority to pause trading) are set and enforced on-chain by a third-party protocol administrator, and the broader DeepBook Protocol and Sui Network are subject to third-party administration, governance, token-holder, validator, and core-developer processes that PredictBay neither controls nor can predict; a third-party administrator may pause, restrict, or change on-chain Markets at any time.
  • Mutability and upgrades. The underlying smart contracts are upgradeable and may be changed, re-architected, migrated, or discontinued by their maintainers at any time, which may change or break functionality; the deployment is an evolving one whose identifiers and behavior may change.
  • Network risk. The Sui Network and other blockchains may experience outages, halts, congestion, delayed or failed finality, forks, reorganizations, consensus changes, smart-contract bugs, and protocol upgrades (which can themselves introduce halt risk), any of which may prevent or delay account creation, deposits, the opening or closing of positions, settlement, claims, or withdrawals, in each case with no recourse against PredictBay except to the extent recourse cannot be excluded under Applicable Law.
  • Indexed, advisory data. Market lists, positions, prices, volatility data, and settlement records shown in the Service are read from third-party off-chain indexers and RPC nodes, are advisory only, are not a PredictBay custody ledger, and may be stale, incomplete, unavailable, or temporarily inconsistent with the on-chain state (including during protocol migrations).
  • The tokens used by the Sui Network and the DeepBook Protocol are third-party tokens that PredictBay does not issue, control, or endorse. This Section is a disclosure of how third-party infrastructure is used; it does not make PredictBay responsible for that infrastructure.

    23.5 Wallets; zkLogin; Sponsored Transactions; Key Recovery

    This Section supplements the "Wallet" definition in Section 1.3 and Sections 5.2, 5.3, and 9.2. Where you use the Service's Google-based sign-in to transact on the Sui Network, your Sui address is provisioned through a zkLogin wallet using a third-party wallet-provisioning service. You acknowledge and agree that:

  • Hybrid, app-assisted key model. Your persistent Sui address is derived from your third-party login identity together with a salt held by the third-party provisioning service; there is no seed phrase and no exportable private key for that address, and the only key held on your device is a short-lived ephemeral key stored in your browser session. PredictBay does not hold your signing key, and you do not hold a stand-alone backup key. Control of the address is mediated by your continued access to the same third-party login account and by the availability of the third-party provisioning and proof services; this is neither full self-custody nor PredictBay custody of your keys.
  • Recovery limits. Loss of your browser session is generally designed to be recoverable by signing in again with the same login account, which is intended to re-derive the same Sui address; PredictBay does not guarantee this, and it depends on the continued availability and behavior of the third-party login, provisioning, and proof services. There is no in-app seed-phrase backup, key export, or PredictBay-side recovery. Loss of access to the underlying login account, or discontinuation of the third-party provisioning or proof service, may permanently remove your ability to authorize transactions from, or access assets at, that address, and PredictBay cannot recover it for you.
  • On-chain holding; custody. On the Sui Network, deposited assets are held in an on-chain account object (a DeepBook account, sometimes called a "BalanceManager," and its associated balance) controllable only through your own zkLogin authority. PredictBay does not hold the signing key for your provisioned Wallet and does not custody those balances in a PredictBay-owned account. Consistent with Section 9.2, the Service's custody model may be custodial, non-custodial, or hybrid and varies by feature; the on-chain feature is non-custodial as to your keys, although your practical ability to transact from a provisioned Wallet depends on the third-party and PredictBay services described in paragraph 4.
  • Sponsored Transactions; availability dependency. Your zkLogin transactions are Sponsored Transactions: PredictBay pays the Sui network (gas) fee through a third-party sponsorship provider, and you authorize each transaction with your zkLogin signature. Sponsorship is limited to an allowlist of permitted DeepBook operations, is rate-limited, and is subject to identity, origin, and anti-replay checks; PredictBay may modify, throttle, condition, or discontinue sponsorship at any time. Because a zkLogin user holds no native network token, if the sponsorship, proof, identity, or related third-party services (including the login provider, the provisioning or sponsorship service, or Sui RPC) are unavailable, or if PredictBay ceases sponsorship, you may be unable to submit any on-chain transaction — including deposits, the opening or closing of positions, claims, and withdrawals — and PredictBay does not provide an independent, self-funded means of broadcasting from a zkLogin address.
  • External wallet alternative. Where the Service supports connecting an external, self-custodied Sui wallet, you alone control and are responsible for that wallet's keys and you pay your own network fees; the zkLogin recovery, custody, and sponsorship statements above do not apply to that path.
  • 23.6 On-Chain Contracts; Range Digitals; Leverage; Pricing; Settlement; Finality

    This Section describes on-chain Contracts made available through the DeepBook Predict protocol and is subject to the applicable Market Rules and to Sections 8 and 10. You acknowledge and agree that:

  • Nature of the Contract. On-chain, a position is a Range Contract that is issued (minted) against an on-chain pricer rather than matched against a counterparty order book, and that pays a fixed amount per unit only if the reference price settles within a defined price range at expiry, and otherwise pays nothing. An "Above" or "Below" (or "Up" or "Down") selection is mapped to a one-sided range. The payoff is binary at the range boundary and is not a linear or guaranteed one-to-one return.
  • Leverage ("Boost"). Where the Service exposes a "Boost" option, a Range Contract may be opened with leverage. Leverage is bounded by a per-Market maximum set by the third-party protocol (not by PredictBay), amplifies both potential payout and potential loss, and increases the all-in cost. Leverage does not provide downside protection or any guaranteed maximum loss beyond the amount you commit.
  • Liquidation and total loss. Leveraged positions can be liquidated or knocked out by on-chain mechanics and can lose the entire amount committed; a losing Range Contract settles to zero. Notwithstanding any marketing or promotional copy appearing elsewhere, on-chain Range Contracts involve leverage and liquidation risk.
  • Estimate-only pricing. Any prices, odds, multipliers, or payouts shown for on-chain Contracts are off-chain estimates for display only (and may be a conservative or placeholder figure), are not a quote, and are not a guaranteed execution price. The binding, all-in cost and the outcome — including fees, leverage financing, congestion charges, and a knock-out floor — are computed and enforced on-chain at execution and settlement and may differ from any displayed figure. You may set slippage limits (for example, a maximum cost or maximum probability), but execution at any particular price or time is not guaranteed.
  • Oracle and settlement dependency. Pricing and settlement of on-chain Contracts depend on third-party on-chain oracle and volatility-surface infrastructure and on third-party keepers that refresh that data. Settlement occurs against an on-chain settlement price that PredictBay does not set, control, or guarantee. If oracle data is stale, expired, inactive, not yet settled, or unconfigured, or deviates abnormally, quoting, opening, closing, and settlement may be blocked, delayed, or fail.
  • Finality and transaction failure. Each on-chain action (creating an account, depositing, opening, closing, claiming, or withdrawing) is an atomic Sui transaction. Once final on-chain it is irreversible, and PredictBay cannot reverse, cancel, refund, or modify it. Conversely, a transaction may fail or revert in whole for many reasons — including a tripped slippage limit, an invalid strike, trading paused by the protocol administrator, insufficient admission, adverse oracle state, or network conditions — in which case it does not execute. PredictBay does not guarantee that any open, close, claim, or withdrawal will succeed, or will execute at a particular price or time. Closing before settlement may be unavailable, and claims require the relevant Market to have settled.
  • No advice; as is. Consistent with Sections 2.2, 16, and 16.4, on-chain Contracts are experimental and provided on an "as is" and "as available" basis; nothing in the Service constitutes advice, and you are solely responsible for evaluating the mechanics and risks of any on-chain Contract.
  • 23.7 Assumption of Risk; Release; Security Incidents; No Liability for On-Chain Losses

    You use on-chain functionality entirely at your own risk. This Section supplements Sections 10, 16, and 17 and does not limit any disclaimer, limitation, or indemnity in those Sections. To the maximum extent permitted by Applicable Law:

  • Assumption of risk. You knowingly and voluntarily assume all risks arising from or relating to on-chain functionality, the DeepBook Protocol, the Sui Network, leveraged Range Contracts, oracles, keepers, indexers, RPC providers, wallet-provisioning, proof, and sponsorship services, and any Eligible Asset used on-chain, including the risk of total and permanent loss.
  • Security incidents, hacks, and exploits. PredictBay is not responsible or liable for any loss, theft, freezing, devaluation, or inaccessibility of assets, positions, or data caused by, arising from, or relating to: any hack, exploit, vulnerability, bug, malicious code, economic or oracle-price manipulation, flash-loan or governance attack, private-key, seed, or session compromise, phishing, social engineering, SIM-swap, or account takeover; any failure, halt, fork, reorganization, congestion, downtime, or upgrade of the Sui Network, the DeepBook Protocol, any oracle, bridge, validator, keeper, indexer, or RPC provider; any smart-contract defect, mispricing, faulty settlement, or unintended behavior; or any act, omission, insolvency, or discontinuation of any third party — in each case whether or not the event was foreseeable and whether occurring at the level of PredictBay, the protocols, or any third party.
  • Release and waiver. You release, waive, and discharge the PredictBay Parties (as defined in Section 17) from any and all claims, demands, damages, losses, and causes of action, known or unknown, arising out of or relating to on-chain functionality and the events described in this Section 23.7, and you agree that your sole and exclusive remedy is to discontinue using the on-chain functionality. Where Applicable Law does not permit a release of unknown or future claims, you waive the benefit of any law that would otherwise preserve them, to the fullest extent permitted, and the release applies to the maximum extent allowed.
  • No recovery, reimbursement, or insurance. PredictBay does not guarantee, insure, backstop, or reimburse any on-chain balance, position, payout, or loss, and is under no obligation to compensate you, restore funds, reverse a transaction, fork or patch any protocol, or pursue any third party on your behalf, for any reason, including any of the events described in this Section 23.7.
  • Indemnification. Without limiting Section 17, you agree to indemnify, defend, and hold harmless the PredictBay Parties from any claim, loss, or expense arising out of your use of on-chain functionality, your interaction with third-party protocols, or your breach of this Section 23.
  • Nothing in this Section 23.7 excludes or limits any liability that cannot be excluded or limited under Applicable Law (for example, liability for fraud or fraudulent misrepresentation, or any non-excludable consumer or statutory rights); in that event, the remaining provisions continue to apply to the maximum extent permitted.
